Terms of Service

These Terms of Service ("Terms") govern your access to and use of LastingNote, including our website, mobile applications, and related services (collectively, the "Service"). The Service is provided by LastingNote ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

You must meet the following requirements to use LastingNote:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

When you create an account, you agree to:

• Maintain the security of your password and recovery phrase
• Keep your account information accurate and up to date
• Not share your account credentials with others
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Important: We cannot recover lost passwords or recovery phrases in Zero-Knowledge mode. You are solely responsible for securely storing your credentials.

LastingNote allows you to create encrypted messages that will be delivered to designated recipients if you fail to check in within specified time periods. The Service offers two security modes:

Zero-Knowledge Mode

• Maximum security with end-to-end encryption
• Requires Ultimate Human Verifier (UHV) authorization
• We cannot access or recover your encrypted messages

Convenience Mode

• Guaranteed automatic delivery
• Server-managed encryption for reliability
• Messages delivered automatically when deadline is reached

You agree NOT to use LastingNote to:

• Send spam, unsolicited messages, or harassment
• Transmit illegal, harmful, or offensive content
• Violate any laws or regulations
• Infringe on intellectual property rights
• Distribute malware or viruses
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Impersonate others or misrepresent your identity
• Share content that violates others' privacy

Violation of this policy may result in immediate account termination without notice.

We strive to deliver your messages reliably, but we cannot guarantee delivery in all circumstances. Factors that may affect delivery include:

• Recipient email server issues or spam filters
• Invalid or outdated recipient email addresses
• Service outages or technical failures
• Ultimate Human Verifier (UHV) non-response in Zero-Knowledge mode
• Account suspension or termination

Zero-Knowledge Mode: Message delivery requires UHV authorization. If your UHV does not respond or refuses authorization, messages will not be delivered.

File Size Limits: Attachments are limited to 25MB per file, with a total message size (including all attachments) not exceeding 30MB.

LastingNote currently offers free access to the Service. We reserve the right to introduce paid features or subscription plans in the future. If we do:

• Existing users will receive advance notice
• Pricing will be clearly displayed
• You may cancel at any time before charges begin

Content Ownership

You retain all rights to the content you create and store in LastingNote. By using the Service, you grant us a limited license to:

• Store and encrypt your messages
• Deliver messages to your specified recipients
• Process attachments and perform necessary operations

Content Responsibility

You are solely responsible for the content you create, including:

• Ensuring accuracy and legality
• Obtaining necessary permissions
• Compliance with applicable laws
• Impact on recipients

Your Right to Terminate

You may delete your account at any time through the Settings page. Upon deletion:

• Your account will be permanently deactivated
• All messages and data will be deleted
• Pending messages will not be delivered
• This action cannot be undone

Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activities
• Fail to comply with applicable laws
• Pose a security risk to the Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Security or absence of viruses
• Accuracy or reliability of content
• Guaranteed message delivery

We are not responsible for:

• Lost or corrupted data due to user error
• Third-party service failures (email providers, SMS services)
• Force majeure events beyond our control
• User-generated content and its impact

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LASTINGNOTE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from unauthorized access or use
• Damages related to message content or delivery
• Emotional distress or personal injury

Our total liability for all claims shall not exceed $100 or the amount you paid us in the last 12 months, whichever is greater.

You agree to indemnify and hold harmless LastingNote and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Your content and its impact on recipients
• Infringement of third-party rights

Informal Resolution

Before filing a legal claim, you agree to contact us at support@reply.lastingnote.me to attempt to resolve the dispute informally.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial and class action lawsuits.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
